Grant of incentive subscription rights in IDEX

The board of directors of IDEX ASA has resolved to grant a combined total of 1,500,000 incentive subscription rights (“SRs”) to new employees in the company, wiz. Fred Benkley, Thar Casey and David Geoffery, who are joining IDEX to constitute the management team of IDEX’s US subsidiary IDEX America, Inc.

The grant was made under the company’s 2013 incentive subscription rights plan as resolved at the annual general meeting on 16 May 2013. The exercise price of the SRs is NOK 4.67 per share. 25 per cent of the SRs vested at grant, while 25 per cent of SRs vest on each of the three anniversaries from the date of the grant. The SRs expire on 23 September 2017.

Following the grant, the company’s share capital will be NOK 50,585,159.55 divided into 337,234,397 registered shares each with a nominal value of NOK 0.15, and there will be 28,469,653 incentive subscription rights outstanding.
